1. About these terms
These Terms and Conditions ("Terms") are an agreement between you and Parshiv Enterprises, Rajkot, Gujarat, India, the provider of VittFlow ("VittFlow", "we", "us"), for the use of VittFlow's accounting and billing software: the website and web app at www.vittflow.com, the VittFlow desktop app for Windows and Mac, and any related services (together, the "Service").
By ticking the box when you create an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to enter into a binding contract under Indian law. If you use the Service for a business, firm or other organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that organisation.
2. Your account
- Give your real name and an email address you control, and keep them up to date. We may ask you to verify your email address.
- Each account is for one person. Don't share your password; add colleagues to your company with their own accounts and roles instead.
- Keep your password secret and tell us at once if you think someone else has used your account. You are responsible for what is done through your account until you tell us.
- Company owners decide who can access their company's books and with what role, and are responsible for those choices.
3. The Service
VittFlow helps you keep books and run your business: GST invoices and returns, accounts, inventory, counter sales, bank reconciliation, reports and related tools. Features differ by plan and may change over time as described in section 12.
The desktop app can show your vittflow.com account, or keep books only on your computer ("offline mode"). Section 6 has the terms that apply to offline mode.
4. Free trial, plans and payment
- New businesses get a free trial for the period shown when they sign up. No payment card is needed for the trial.
- To keep using paid features after the trial, choose a plan. Prices, what each plan includes and the billing period are as shown when you buy, plus applicable taxes, including GST.
- Fees are payable in advance for each billing period. Refunds, if any, are as stated when you buy or as required by law.
- If a payment is not made, we may give a grace period and then limit the business's use of paid features until it is paid.
- We may change prices for future billing periods. We will tell you in advance, and the change will not affect a period you have already paid for.
5. Your data
- The books, documents and other data you put into VittFlow ("Your Data") belong to you or your business.
- You give us permission to store, process, copy and display Your Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy.
- You are responsible for having the right to put Your Data into VittFlow, including the details of your customers, suppliers and other parties.
- You can download your company's data as a backup or in Excel at any time while you have access. Keep your own backups of important records.
- When you ask for a company or your account to be deleted, it is reviewed and handled as set out in our Privacy Policy. Records we must keep by law are kept for the period the law requires.
6. The desktop app and offline mode
- We grant you a personal, non-exclusive, non-transferable and revocable licence to install and use the desktop app for your own business, under these Terms.
- In offline mode, your books are kept only in a file on your computer. We do not hold a copy, so we cannot recover them if the computer is lost, damaged or reset. Making and keeping backups is your responsibility; use the app's backup feature regularly and keep copies somewhere safe.
- Accounts made in offline mode must verify their email address once, which needs an internet connection.
- When the computer is online, the app sends us the information described in our Privacy Policy: its accounts' names and email addresses and a summary of each company. It does not send invoices, parties or ledgers.
- We may switch off an offline account, for example for a breach of these Terms or an unpaid licence. This takes effect the next time the computer is online. The books stay on the computer.
- The app may download and install updates. Some features, such as email, AI and links to government portals, need an internet connection.
7. Accounting, GST and tax
- VittFlow is a software tool. It does not give legal, tax, accounting or financial advice, and it does not replace a chartered accountant or tax professional.
- You are responsible for the accuracy of what you enter and for checking every invoice, return, report and figure before you rely on it, file it or send it.
- VittFlow prepares files, such as GSTR-1, e-invoice and e-way bill JSON, for you to review and upload yourself. It does not file returns on government portals for you. Filing correctly and on time, and paying tax due, remain your responsibility.
- Tax rules, rates and portal formats change. We work to keep VittFlow current, but you must make sure what you file meets the law in force at the time.
8. AI features
- AI features stay off for a company until its owner or an admin turns them on.
- AI output, such as captured bills, bank matches, suggestions and answers, can be wrong or incomplete. Review it before you save or rely on it. Nothing an AI agent proposes is posted until a person saves it.
- When AI features are on, the data needed for a request is sent to the AI provider used for that company, as described in our Privacy Policy.
9. Acceptable use
You agree not to:
- use the Service for anything unlawful, including issuing fake or fraudulent invoices, wrongly claiming input tax credit, or evading tax;
- put in data you have no right to use, or send messages or documents to people who have not agreed to receive them;
- try to access accounts, companies or data that are not yours, or test, probe or break the Service's security;
- copy, modify, reverse engineer or decompile the Service, except where the law allows this despite this restriction;
- overload or disrupt the Service, or access it with automated tools other than the features and exports we provide;
- resell, rent or sublicense the Service, or use it to build a competing product.
11. Other services
VittFlow works alongside services run by others, such as government GST and e-invoice portals, WhatsApp, email providers, banks and AI providers. Their own terms apply to them, and we are not responsible for their availability or for what they do.
12. Availability and changes
We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free. We may need to pause it for maintenance, preferably at quiet times. We may add, change or remove features; if we remove a major feature you pay for, we will tell you in advance.
13. Our intellectual property
The Service, including its software, design, text, logos and the VittFlow name, belongs to VittFlow or its licensors and is protected by law. These Terms give you the right to use the Service, not ownership of it. If you send us ideas or feedback, we may use them without any obligation to you.
14. Suspension and ending
You can stop using the Service at any time and ask for your account or company to be deleted from your account settings.
We may suspend or end your access, or a business's access, if you seriously or repeatedly break these Terms, do not pay fees due, use the Service unlawfully or in a way that puts others at risk, or if the law requires it. Where reasonable we will tell you first and give you a chance to fix the problem and to download your data.
Sections 5, 7, 13 and 15 to 19 continue to apply after your use ends.
15. Disclaimer
Apart from what these Terms expressly say, and to the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, including that it is fit for a particular purpose or that its results will be accurate.
16. Limitation of liability
- To the extent the law allows, VittFlow is not liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue, business, goodwill or data, or for tax, interest or penalties arising from what you file or fail to file.
- To the extent the law allows, VittFlow's total liability for all claims relating to the Service is limited to the fees you paid to VittFlow for the Service in the 12 months before the event giving rise to the claim.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnity
You agree to compensate VittFlow for losses, costs and claims made by others that arise from Your Data, from your breach of these Terms, or from your unlawful use of the Service.
18. Changes to these Terms
We may update these Terms from time to time. We will change the date below, and tell you by email or in the app before an important change takes effect. If you keep using the Service after a change takes effect, the updated Terms apply. If you do not agree to them, stop using the Service and you may download your data first.
19. Governing law and disputes
These Terms are governed by the laws of India. Before going to court, please Contact us so we can try to resolve the matter. Any dispute that cannot be resolved this way will be subject to the exclusive jurisdiction of the courts at Rajkot, Gujarat.
